On July 7, 2025, Thitaphat Isarapprapattana, company secretary of MAJOR Cineplex Group Plc, notified the Stock Exchange of Thailand regarding a filing received on June 29, 2025. An individual claiming the position of acting executive reported acquiring 41,132,700 ordinary shares of the company, with the transaction dated December 31, 2008.
On July 2, 2025, this same person submitted a Form 246-2 to the Securities and Exchange Commission, reporting acquisition of shares comprising approximately 0.3776% ordinary shares and 4.6400% preferred shares, bringing total holdings to approximately 9.9906% of voting rights.
MAJOR notes that the SEC website indicates the Form 246-2 contains preliminary information still under review. However, the company has identified discrepancies: MAJOR has never publicly offered preferred shares and currently holds no preferred shares outstanding. Internal verification confirms the filer is not a director, executive, or employee of the company and is not listed in the SEC's Whist system.
MAJOR reported these findings to the SEC on July 7, 2025. The SEC has stated it will conduct further inquiries with the filer. The matter remains under SEC investigation and review.
